4. Service Engagement and Project Process

4.1 Initial Consultation

All new projects begin with a consultation to discuss project scope, objectives, timelines, and budget. This consultation may be conducted via phone, video call, email, or in-person meeting.

4.2 Proposals and Quotes

Following consultation, we will provide a detailed proposal or quote outlining:

  • Project scope and objectives
  • Deliverables and specifications
  • Timeline and milestones
  • Pricing and payment terms
  • Terms specific to the project

4.3 Acceptance

Services commence upon:

  • Client acceptance of the proposal (written or electronic signature)
  • Receipt of initial deposit or payment as specified
  • Completion of any required onboarding documentation

4.4 Project Timeline

Timelines are estimates and subject to change based on:

  • Client feedback and approval turnaround times
  • Scope changes or additions

  • Force majeure events

We will communicate any timeline changes promptly to the Client.

5. Client Responsibilities

5.1 Information and Materials

Clients must provide:

  • Accurate and complete information about their business, brand, and objectives
  • Necessary assets (logos, brand guidelines, existing content, access credentials)
  • Timely feedback and approvals
  • Access to required personnel for interviews, filming, or consultation

5.2 Communication and Cooperation

Clients agree to:

  • Respond to requests for information within agreed timeframes
  • Provide constructive and specific feedback
  • Designate a primary point of contact for the project
  • Attend scheduled meetings and calls

5.3 Third-Party Arrangements

Clients are responsible for:

  • Obtaining necessary permissions for filming locations
  • Securing rights to use any third-party content provided to us
  • Managing relationships with their own vendors or partners as needed

6. Fees and Payment Terms

6.1 Pricing

Service fees are outlined in individual proposals or quotes. Pricing may be based on:

  • Fixed project fees
  • Hourly rates
  • Retainer agreements
  • Commission-based arrangements (for certain marketing services)

6.2 Payment Schedule

Unless otherwise specified in a project agreement:

  • 50% deposit is required before work commences
  • Remaining 50% is due upon project completion or delivery of final deliverables
  • For ongoing services (retainers), payment is due monthly in advance

6.3 Payment Methods

We accept payment via:

  • Bank transfer (EFT)
  • Cash (for local transactions)
  • Other methods as agreed in writing

6.4 Late Payment

  • Payments are due within 7 days of invoice date
  • Late payments may incur interest charges of 2% per month
  • We reserve the right to suspend services for accounts with overdue balances
  • Deliverables may be withheld until full payment is received

6.5 Additional Costs

The following may incur additional charges:

  • Travel and accommodation for on-location shoots
  • Licensing fees for stock footage, music, or images
  • Third-party services (actors, voice talent, specialized equipment rental)
  • Scope changes or additions beyond the original agreement
  • Rush fees for expedited delivery

All additional costs will be communicated and approved by the Client before being incurred.

7. Intellectual Property Rights

7.1 Original Content Created by Story House

Upon full payment, Client receives:

  • Non-exclusive license to use the deliverables for their intended business purposes
  • Rights to use content across agreed platforms and channels
  • Story House retains ownership of underlying concepts, templates, and methodologies

7.2 Portfolio and Promotional Use

Story House reserves the right to:

  • Display completed work in our portfolio
  • Use project as a case study (with Client’s approval for sensitive information)
  • Include work samples in marketing and promotional materials
  • Reference Client as a client (unless confidentiality is required)

Clients may request exclusion from portfolio use by notifying us in writing.

7.3 Third-Party Content

Client warrants that any materials provided to Story House:

  • Do not infringe on third-party intellectual property rights
  • Are properly licensed for intended use
  • Have necessary permissions and releases

7.4 Music and Audio

For original music produced by Story House:

  • Client receives rights to use music in conjunction with associated project
  • Story House may retain certain rights for non-competing uses
  • Specific music licensing terms will be outlined in project agreements

7.5 Influencer Content

Content created by influencers during campaigns:

  • Usage rights are governed by individual influencer agreements
  • Client should request specific usage terms before campaign launch
  • Extended rights may require additional licensing fees

8. Revisions and Approvals

8.1 Revision Policy

Our standard service includes:

9. Cancellation and Termination

9.1 Cancellation by Client

If Client cancels a project:

  • Before work begins: Deposit is refundable minus 20% administrative fee
  • After work begins: Client is responsible for payment for all work completed to date, plus 25% of remaining project value
  • For ongoing retainers: 30 days written notice required

9.2 Termination by Story House

We may terminate services if:

  • Client breaches these Terms
  • Payment is significantly overdue
  • Client engages in abusive or inappropriate behavior
  • Project requirements violate our ethical standards or legal obligations

9.3 Effect of Termination

Upon termination:

  • Client must pay for all work completed
  • Story House will deliver work completed to date (if payment is current)
  • Both parties return or destroy confidential information
  • Outstanding invoices become immediately due

10. Confidentiality

10.1 Confidential Information

Both parties agree to maintain confidentiality of:

  • Business strategies and plans
  • Financial information
  • Proprietary processes and methodologies
  • Unpublished content and campaigns
  • Any information marked or identified as confidential

10.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available through no breach of this agreement
  • Was known prior to disclosure
  • Is independently developed
  • Must be disclosed by law or court order

10.3 Duration

Confidentiality obligations survive for [2-5] years after project completion or termination.

11. Warranties and Disclaimers

11.1 Service Quality

Story House warrants that services will be performed:

11.2 Client Warranties

  • They have rights to materials provided to us

11.3 No Guarantee of Results

  • We cannot guarantee specific business outcomes (sales, followers, engagement rates)
  • Social media algorithms and platform policies are beyond our control
  • Campaign success depends on many factors outside our control
  • Third-party platforms (social media networks) may change policies or features

11.4 Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STORY HOUSE PROVIDES SERVICES “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

12. Limitation of Liability

12.1 Liability Cap

Story House’s total liability for any claim arising from our services shall not exceed the total fees paid by Client for the specific project or service giving rise to the claim.

12.2 Excluded Damages

Story House shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or content
  • Damage to reputation
  • Claims by third parties

12.3 Exceptions

Nothing in these Terms limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by law

13. Indemnification

Client agrees to indemnify and hold harmless Story House, its employees, contractors, and affiliates from any claims, damages, or expenses arising from:

  • Client’s breach of these Terms
  • Infringement of third-party rights by Client-provided materials
  • Client’s use of deliverables in ways not authorized
  • Violation of applicable laws by Client

14. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:

  • Natural disasters
  • Acts of war or terrorism
  • Government actions or restrictions
  • Pandemic or public health emergencies
  • Internet or telecommunications failures
  • Strikes or labor disputes

Affected party must notify the other party promptly and make reasonable efforts to minimize impact.

15. Social Media and Platform Compliance

15.1 Platform Policies

Client acknowledges that:

  • Social media platforms have their own terms of service and community guidelines
  • Story House cannot guarantee content approval by platforms
  • Accounts may be subject to platform enforcement actions
  • Platform algorithm changes may affect content performance

15.2 Compliance

Both parties agree to comply with:

  • Platform terms of service
  • Advertising standards and regulations
  • Data protection and privacy laws
  • Intellectual property laws
  • Namibian advertising and consumer protection laws

15.3 Influencer Partnerships

For influencer marketing services:

  • Sponsored content must comply with disclosure requirements
  • Influencers are independent contractors, not employees of Story House
  • Specific influencer terms are subject to individual agreements

16. Data Protection and Privacy

Story House handles personal data in accordance with our Privacy Policy and applicable Namibian data protection laws. By engaging our services, Client consents to:

  • Collection and processing of necessary personal and business information
  • Use of data for service delivery and business purposes
  • Sharing with trusted third-party service providers as needed
